Terms of Service

Effective: January 2026

These Terms govern your use of Pulsity provided by On Pulse Enterprises Pty Ltd (ABN 87 686 271 938). By using Pulsity, you agree to these Terms.

1. Definitions

  • "Customer" / "you" — the entity subscribing to Pulsity
  • "Customer Data" — data you upload or create in the Platform
  • "Fees" — subscription and implementation fees in your Order Form
  • "Platform" — the Pulsity software at pulsity.io
  • "We" / "us" — On Pulse Enterprises Pty Ltd

2. The Service

We grant you a non-exclusive right to access Pulsity during your subscription for your internal business purposes. Pulsity provides resource planning, capacity forecasting, and engagement economics for consulting firms.

3. Your Obligations

  • Use Pulsity lawfully and in accordance with these Terms
  • Maintain the security of your account credentials
  • Ensure you have necessary consents for employee data you upload
  • Not reverse engineer, resell, or provide Pulsity to third parties

4. Fees and Payment

  • Fees are specified in your Order Form
  • All fees are in AUD and exclusive of GST (we add 10% where applicable)
  • Invoices are due within 30 days
  • We may suspend access for accounts more than 30 days overdue after written notice
  • Fee changes require 90 days' notice and apply from the next renewal

5. Data

Ownership: You retain all rights to Customer Data.

Location: Stored in Microsoft Azure's Australia East region. Data stays in Australia.

Deletion: Data export available within 30 days of termination. Deleted within 90 days on request.

6. Service Levels

  • Uptime (Year 1): 99.0% monthly
  • Uptime (Year 2+): 99.5% monthly
  • Support Response: 4 business hours (critical) / 1 business day (standard)

7. Intellectual Property

We retain all rights to the Platform. You retain all rights to Customer Data.

8. Warranties

The Platform will materially conform to our documentation. Australian Consumer Law rights are not excluded.

9. Liability

Each party's total liability is limited to fees paid in the 12 months before the claim.

10. Term and Termination

Either party may terminate with 60 days' written notice, or immediately for material breach not cured within 30 days.
